Votre Mission
Description du poste
Au sein dâune équipe de 10 personnes, vous interviendrez sur les missions suivantes : 2. Opérations sur le capital et la vie sociale 3. Missions exceptionnelles
- nomination ou changement de dirigeants,
- transfert de siège social,
- modification de lâobjet social ou de la dénomination sociale,
- ouverture ou fermeture dâétablissement,
- changement de date de clôture.
- Gérer les opérations dâaugmentation de capital (par incorporation de réserves ou par apport en numéraire).
- Assurer le suivi des situations de perte des capitaux propres et des opérations de reconstitution.
- Préparer et sécuriser les opérations de réduction de capital motivées par des pertes.
- Rédiger et suivre les autorisations diverses (emprunt, caution, acquisition, etc.).
- Gérer les formalités liées à la mise en activité, à la mise en sommeil et à la prorogation de la durée de la société.
- Piloter les opérations exceptionnelles telles que la dissolution anticipée et la liquidation sans boni.
- Traiter lâajout dâenseigne ou de nom commercial.
- Participer à la création de sociétés (SCI, SARL, SAS, etc.).
- Contrinuer à la réalisation de missions juridiques exceptionnelles selon les besoins.
Titulaire dâun Bac +3 minimum en droit, vous justifiez dâune expérience dâau moins 2 ans en droit des sociétés, acquise idéalement en cabinet dâexpertise comptable ou en cabinet dâavocats.
Organisé(e) et autonome, vous faites preuve de rigueur et dâun bon sens des priorités. Doté(e) dâun excellent relationnel, vous appréciez le travail en équipe et savez faire preuve dâécoute. Réactif(ve) et à lâaise dans les échanges, vous disposez également de solides capacités rédactionnelles.
Maitrise des outils informatiques : Pack Office, Polyacte serait un plus.
